These terms of use apply to all online services provided by Upright ("Upright's Online Services"), including, but not limited to:

  • The Upright Website, available online at https://uprightproject.com
  • The Upright Platform, available online at https://uprightplatform.com
  • The Upright API, available online at https://api.uprightproject.com
  • Eevo, Upright's consequential decision model, including the Eevo console, the Eevo API and the Eevo MCP server, available online at https://eevo.io ("Eevo")

Upright's Online Services are made available by Upright Oy (business ID 2848353-4 and address Annankatu 27, 00100 Helsinki).

Should you have any questions regarding these Terms, you can send us an email at hello@uprightproject.com.

By using Upright's Online Services, you agree to be bound by these Terms of Use (“Terms” or “Agreement”), whether or not you register to any of Upright's Online Services. If you do not agree to these Terms, do not use Upright's Online Services.

In these Terms “you” or “user” refers to all users of Upright's Online Services, both consumers and companies, associations and other entities.

Use of Upright's Online Services

You have a limited right to use Upright's Online Services in a manner and form offered to you by us from time to time.

Upright's Online Services are used via a web browser. Some of them, such as Eevo, can also be used through an application programming interface (API), through the Model Context Protocol (MCP), and through third-party AI clients that connect to them. You are responsible for obtaining equipment, connections and software necessary to use Upright's Online Services as well as for any costs relating thereto.

Upright's Online Services are offered on various tiers. Some features are available free of charge ('Free Plan'), while others require a paid subscription ('Paid Plan'). The Free Plan is provided only for informational use and may not be used for external reporting (e.g., for CSRD reporting).

We reserve the right to define the rules for using Upright's Online Services and to modify, change, or remove functionalities and features, particularly those within the Free Plan, at our sole discretion and at any time.

We are not responsible for retaining any materials or information that has been uploaded by the users to Upright's Online Services. Do not use Upright's Online Services for storing or backing up any materials or information.

User accounts

Some features of Upright's Online Services are only available to registered users. When registering to Upright's Online Services by creating a user account, you must submit accurate and current registration details, as requested on the registration page. Please remember to update your details in case of any changes.

Your account and password are personal. Do not disclose your password to third parties and do not let third parties use your Upright account. Please note that you are responsible for all purchases and use of Upright's Online Services under your account.

When creating an Upright account to a company or other organization, you confirm that you have the authorization to make such registration on behalf of such organization.

An Eevo account is either a personal account or an organization account, and one person can belong to several accounts. An organization account has administrators, who manage billing, API keys, data controls and members, and members, who use the account. Removing a member from an organization account revokes the API keys that member created for it and the member's connector sign-ins to it.

API keys are confidential. Do not disclose them to third parties or include them in publicly accessible code or materials. The account holder is responsible for, and pays for, all use of Upright's Online Services made with its API keys and connector sign-ins, whether or not it authorized that use. If you believe an API key has been compromised, revoke it without delay.

We have the right to terminate your Upright account at any time, for example in case we deem that you have breached these Terms or caused harm to us or the other users of Upright's Online Services.

Purchases and payment

The applicable fees for our Paid Plans are specified on the websites of Upright's Online Services. All fees are quoted exclusive of applicable taxes, for which you are responsible.

Eevo is paid for with prepaid credit, as described in "Prepaid credit" below. Other Paid Plans are billed as follows.

Paid Plans are billed on a subscription basis ('Subscription') in advance on a recurring billing cycle (e.g., monthly or annually). Subscriptions will automatically renew at the end of each billing cycle unless you cancel it through your account settings or by contacting us prior to the renewal date.

You agree to pay for your Subscription using the payment functionalities offered. By providing a payment method, you authorize us to charge it for all applicable Subscription fees. Should a payment fail, we reserve the right to attempt to process the payment again or to issue an invoice for the outstanding amount.

By purchasing a Subscription, you consent to the immediate commencement of the service. You acknowledge that by receiving immediate access to the service, you lose your right of withdrawal for the initial purchase period. This does not affect your right to cancel the Subscription's renewal at any time.

Interest on any overdue payments shall accrue according to the Finnish Interest Act. You shall be responsible for the reasonable costs incurred by Upright when collecting overdue fees.

Prepaid credit

Eevo is paid for with credit bought in advance ('Prepaid Credit') using the payment functionalities offered. Usage is deducted from the Prepaid Credit at the prices published on the websites of Upright's Online Services at the time of use. Requests that fail are not charged. To avoid interrupting requests in progress, the balance may fall slightly below zero; any negative balance is deducted from the next purchase.

If you turn on automatic recharge, you authorize us to charge your saved payment method for the amount you have chosen whenever your balance falls below the threshold you have set. You can turn automatic recharge off at any time in the Eevo console.

New accounts may receive a free usage allowance, such as a number of free decisions. Free allowances are part of the Free Plan: they have no cash value, cannot be transferred, and may be changed or ended at any time.

Prepaid Credit does not expire. Prepaid Credit is non-refundable, including when an account is closed, except where refunds are required by applicable mandatory law. If we close your account for reasons other than your breach of these Terms, we refund the unused Prepaid Credit.

By purchasing Prepaid Credit, you consent to the immediate commencement of the service. If you are a consumer, you acknowledge that you lose your right of withdrawal for the purchased Prepaid Credit once you have started using it.

User content

You retain full ownership of all content and data you submit to Upright’s Online Services ('User Content').

You grant Upright a license to use, host, store, reproduce, and modify your User Content solely for the purpose of providing, maintaining, and improving Upright’s Online Services for you.

Furthermore, you grant Upright a perpetual, irrevocable, worldwide, royalty-free license to use User Content in an aggregated and anonymized form, such that it does not identify you as an individual or entity. We may use this anonymized data to operate and improve our platform, algorithms, and models, and for creating industry benchmarks and other analytical purposes.

For Eevo, these licenses also cover the requests you send to Eevo and the answers Eevo returns to you, and the use of User Content to train future Eevo models is governed by your account's data use setting. This setting is on by default and can be turned off at any time in the Eevo console. While it is on, Upright may use the requests and answers your account stores to train future Eevo models in anonymized form. Turning it off applies to all requests from then on. Content sent with API keys whose retention is set to "Not stored", and content that has been deleted under your retention settings, is never used to train models. Content already used for training before the setting was turned off cannot be withdrawn from models already trained.

Please note that you are responsible for the content you have added to Upright's Online Services and for having obtained all necessary rights to add such content to Upright's Online Services to be used in accordance with these terms. Do not add any illegal or offensive content to Upright's Online Services.

We have the right to remove any content added to Upright's Online Services by the users.
